Terms of Use

1. The Service

Adhype is a web-based platform that converts user-supplied prompts, scripts, and media into advertising creatives—such as UGC-style videos, images, and copy—through proprietary and third-party artificial-intelligence models.

2. Eligibility & Accounts

1. You must be at least 18 years old and legally capable of forming contracts.
2. You agree to provide accurate information and keep your credentials confidential.
3. You are responsible for all activities under your account, including any use by third parties.

3. Plans, Fees, Billing

• Pricing, credit allowances, and overage rates are displayed on the Site or in the in-app purchase flow.
• All subscriptions are billed in advance (monthly or annually) and renew automatically until cancelled.
• Payments are non-refundable except as provided in Adhype's Refund Policy.
• You authorise our payment processors (e.g., Stripe, PayPal) to store and charge your payment method.

4. Licences

4.1 User Content – You grant Adhype a worldwide, non-exclusive licence to host, process, and create derivative works from any text, media, or data you upload ("User Content") solely to operate and improve the Service.

4.2 Outputs – Provided you have paid all applicable fees, Adhype assigns to you all intellectual-property rights it may hold in the final generated creatives ("Outputs"), excluding any open-source or third-party assets that carry separate licences. Adhype may internally store and analyse Outputs (in aggregated or de-identified form) to improve the Service unless you opt out in account settings or by email.

5. Prohibited Conduct

You must not:

1. Use the Service to create or distribute content that is unlawful, defamatory, hateful, harassing, violent, or sexually explicit.
2. Violate any advertising-platform policy, intellectual-property right, or privacy right.
3. Reverse-engineer, crawl, or otherwise interfere with the Service or underlying models.
4. Use Outputs to train or fine-tune competing AI models.
5. Mislead others by presenting Outputs as genuine third-party endorsements where disclosure is legally required.

6. Third-Party Services

The Service integrates with vendors such as GPU hosts, voice providers, and storage platforms. Their terms apply in addition to ours. We are not responsible for their acts or omissions.

7. Beta Features

Beta or preview features are offered "AS IS," may be modified or withdrawn at any time, and are excluded from uptime commitments.

8. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." ADHYPE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that Outputs will be approved by advertising platforms or achieve specific marketing results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADHYPE'S TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM. IN NO EVENT WILL ADHYPE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You will defend and indemnify Adhype (and its owner, contractors, and affiliates) against any claim arising from (a) your User Content; (b) your use of Outputs; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

11. Term & Termination

• You may cancel at any time through your dashboard; service continues until the end of the paid term.
• We may suspend or terminate your access immediately for breach, unlawful activity, or to comply with law. Where legally required, we will provide notice and a pro-rated refund for unused prepaid periods.

12. Governing Law & Venue

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the competent courts of Tel Aviv, Israel.

13. Changes to Terms

We may revise these Terms at any time. Material updates will be announced by email or in-app notice at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
