Ivy Photo Editing AI Agent – Terms of Use

1. Who We Are

“Ivy Photo Editing AI Agent” (“Ivy”, “we”, “our”) is published by Ohad Zadok in the State of Israel.

2. Acceptance of These Terms

By downloading, installing, or using Ivy you (“User”) agree to:

• these custom Terms of Use;
• the standard Apple Licensed Application End-User License Agreement (iOS) or the Google Play Developer Distribution Agreement & Program Policies (Android).

You must be at least 13 years old. If you do not agree, do not use Ivy.

3. Key Disclosures & Consent

1. Acknowledge that you are interacting with an AI system, not a human.
2. Consent to your voice being recorded and transmitted to a third-party voice-technology provider and its large-language-model suppliers for transcription, safety monitoring and service improvement.
3. Affirm that you will not provide sensitive data (e.g., credit-card numbers, government IDs, medical records).
4. Accept these Terms via an affirmative click-wrap checkbox at sign-up.

A record of your acceptance (user ID, version, timestamp) is stored for audit purposes.

4. Accounts

An Ivy account is required to access editing features. You are responsible for safeguarding credentials and all activity under your account.

5. Subscriptions & Billing

Ivy runs on a subscription model billed through the App Store or Google Play. Prices, renewal periods and free-trial terms are shown in-app.

• Billing and refunds are handled by Apple or Google under their store policies.
• Subscriptions may be cancelled at any time in your Apple ID or Google Play settings; access continues until the current billing cycle ends.

6. User Content & Conduct

You may upload images and provide voice instructions solely to receive AI-generated edits. You must not upload, request, or share content that:

• violates law or third-party rights;
• depicts nudity, sexual content involving minors, or sexual exploitation;
• contains hate speech, extremist or violent content;
• promotes illegal activity or harassment;
• contains sensitive data (payment-card numbers, government IDs, medical or biometric data);
• attempts to reverse-engineer, probe, or extract proprietary models or datasets;
• violates telemarketing or robo-call laws (e.g., TCPA, PECR, CASL).

We may remove content or suspend accounts that breach these rules or store-policy restrictions. Our third-party voice-technology provider is an intended third-party beneficiary of this section and may enforce it directly against you.

7. Data Handling

Images are never used to train AI models and are never sold to third parties.

8. Your Rights

You retain all ownership of uploaded images. By using Ivy you grant us a limited licence to host, process, and display your content solely to provide the service.
You may delete images in-app or request full account deletion via [email protected]; we will permanently erase stored images within 30 days except where legal retention is required.

9. Service Changes

We may modify, suspend, or discontinue Ivy at any time. Where practicable we will give 30 days’ notice via in-app message or email.

10. Disclaimers (No Professional Advice)

Ivy and all outputs are provided “as is” and “as available.” AI edits may be imprecise, unsuitable, or incomplete, and do not constitute professional, medical, legal, or financial advice. We disclaim all implied warranties including accuracy, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Ivy, Ohad Zadok, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of Ivy. Our aggregate liability will not exceed US $50 or the amount you paid to Ivy in the past 12 months, whichever is greater.

12. Indemnity

You agree to indemnify and hold harmless Ivy, Ohad Zadok, our affiliates, and our third-party voice-technology provider from any claim or demand (including legal fees) arising from your content, your misuse of Ivy, or your breach of these Terms or applicable telecommunication laws.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Israel. Any dispute shall be resolved exclusively in the competent courts of Tel Aviv, Israel.

14. Updates

We may update these Terms from time to time. Material changes will be announced in-app or via email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
